PUBLIC OFFER AGREEMENT

For purchasing and selling of goods

The following text is the Agreement between the online store http://kordex.com.ua/, hereinafter referred to as "the Online Store", and the user of the online store services, hereinafter referred to as "the Buyer", and defines the conditions for the purchase of goods through the website of the online store. 

1. General provisions

1.1. This Agreement is public (in accordance with Art. 633, 641 and ch. 63 of the Civil Code of Ukraine), its terms are the same for all buyers regardless of status (individual, legal entity, individual entrepreneur).

1.2. By concluding this agreement, that is, the public offer of the online store, the user becomes the Buyer.

2. Concepts and definitions

2.1. The Online Store represented by "KORDEX" LLC, established in accordance with the Legislation of Ukraine, USREOU code 42885238, operates the website hosted on the Internet at http://kordex.com.ua/ 

2.2. Goods - a list of items presented for sale in the Online Store;

2.3. Buyer – an individual who has reached the age of eighteen, receives information from the Online Store, places orders and buys goods, which are presented on the website of the online store, for purposes not related to entrepreneurial activity, or a legal entity / entrepreneur.

2.4. Seller – the Online store represented by "KORDEX" LLC.

2.4. Order – filled and submitted application of the Buyer, addressed to the Online Store for the purchase and delivery of the Goods on his behalf.

2.5. Website – a set of web pages, accessed through a web browser and software modules which are integrated by unified management system, located on the Internet at http://kordex.com.ua/, and containing all the features of a public offer for the sale of goods.

3. The subject of the contract

3.1. This Agreement defines the order of interaction and conditions of the Online Store providing services to the Buyer, based on his aspirations, desires and ability to use the services of selling goods on behalf and at the expense of the Buyer, their delivery, and the desire of the Online Store to provide the Buyer information that interests him, sell goods.

3.2. The Online Store provides the Buyer with the services of sale and delivery of the Goods. 

3.3. The Buyer accepts the terms of this agreement at the time of placing the Order by clicking on the button "Place order", which expresses the Buyer's confirmation of reading the text of this agreement and agreeing to its terms. Hereinafter, the Buyer's objection to giving its consent thus relieves the Online Store of any liability for non-compliance with the terms of this agreement and reserves the right of the Online Store to cancel the Order unilaterally.

3.4. The Online Store has the right to engage third parties to perform the duties assigned to it under the Power of Attorney without prior notice to the Buyer. 

4. Website Policies

4.1. The Buyer can view the content of the Website, place an order and use its other services.

4.2. The Buyer is obliged to provide the real, accurate and complete information about himself. The Online Store is not responsible for the accuracy and correctness of the information submitted by the Buyer when placing the Order.

4.3. The Buyer is obliged not to disclose the access parameters specified during registration to third parties. In case the Buyer suspects unauthorized use of such parameters by third parties, the Buyer is obliged to immediately notify the Online Store by sending an e-mail to kordex@kordex.com.ua.

4.4. The Buyer is responsible for any actions taken on the Website on his behalf.

4.5. The online store has the right to refuse the Buyer to use the services of the online store, if the latter has reason to believe that the buyer has provided inaccurate data, as well as in case of misbehavior (eg, violation of terms of the Agreement, etc.).

4.6. Using the Website in illegal and prohibited activities is forbidden.

5. Ordering procedure

5.1. The Buyer places an Order on the Website independently, by adding the selected Goods to the virtual basket and clicking the "Place Order" button.

5.2. When placing an order on the Website of the Online Store, the Buyer undertakes to provide the following information:

5.2.1. Last name, first name, middle name of the Buyer or the person (recipient) specified by him;

5.2.2. The address of Goods delivery (if it is the delivery to the address of the Buyer) or the department of the Carrier;

5.2.3. Email address;

5.2.4. Contact number.

5.3. Name, quantity, price of the Goods selected by the Buyer are indicated in the Buyer's basket on the Website of the Online Store 

5.4. The Buyer is responsible for the accuracy of the information provided when placing an order

5.5. The contract of sale by distance between the Seller and the Buyer is considered concluded from the moment of electronic ordering on the service of the online store site.

6. The price of the Goods

6.1. The price for each item of the Goods is indicated on the website of the Online Store.

6.2. The Seller has the right to unilaterally change the price for any item of the Goods.

6.3. The Buyer has the right to confirm or cancel the Order to purchase the Goods, if the price is changed by the Seller after placing the Order.

6.4. Change of the price by the Seller for the Goods paid by the Buyer is not allowed.

6.5. The Seller indicates the cost of delivery of the Goods on the Website or notifies the Buyer when placing an order by the Operator.

6.6. The Buyer has the opportunity to pay for the order in one of the ways:

- Cash payment:

The Buyer can pay for the Order in cash to courier or at the Nova Poshta department.

- Bank card:

When placing an order, the Buyer can make a payment using a Visa or Mastercard payment card on the Website.

6.7. The Buyer's obligations to pay for the Goods are considered fulfilled from the moment the Seller receives the funds.

6.8. Payments between the Seller and the Buyer of the Goods are made in the ways specified on the Website of the Online Store in the section "Delivery and payment".

7. Terms of return

7.1. Food products are not subject to return if they correspond to the Buyer's order, have undamaged packaging, are not expired and are of high quality.

7.2. In case of a desire to return the purchased products, it is needed to contact the administration of the Online Store via email office@kordex.com.ua, or by the contact number +38 067 500 36 22, indicating the reason, order number and contact details.

7.3. Return of goods in case of resorting (non-compliance with the Order) is carried out within 3 calendar days from the date of purchase under the following conditions: 1) preservation of integrity of goods and packaging, 2) goods were not in use and have no traces of use.

7.4. Return of goods is carried out at the expense of the Online Store in accordance with p. 7.3.

7.5. In all other cases, the parties are governed by the Consumer Protection Law.

8. Order delivery terms

8.1. Delivery is carried out with the assistance of the Delivery Service in accordance with the delivery option chosen by the Buyer, in accordance with the terms and tariffs of the Delivery Service. Reference information on delivery of the Goods can be found in the section "Payment and delivery" on the Website.

8.2. The Buyer should specify the possibility of delivery outside Ukraine in the administration of the online store.

9. Confidentiality and protection of personal data

9.1. By providing his personal data on the Order Website, the Buyer gives his voluntary consent to the processing and use (including transfer) of his personal data without limiting the validity of such consent in accordance with the Law of Ukraine "On Personal Data Protection" of 01.06.2010.

9.4. The Online Store uses the received personal data only for the purposes of selling the Goods and providing the services specified in this agreement, to promote the services provided by the online store, including through automated processing of personal data.

9.5. The online store undertakes not to disclose the information received from the Buyer. It is not considered a violation to provide information by the Online Store to agents and third parties acting on the basis of an agreement with the Online Store, including the fulfillment of obligations to the Buyer, as well as in cases where disclosure of such information is required by law.

9.6. If the Buyer does not want the Online Store to continue processing personal data, the Buyer must apply to the store administration. In this case, the Buyer will not be able to continue to use the services of the Online Store.

9.7. The buyer is responsible for keeping his personal data up to date. The online store is not responsible for poor performance or non-performance of its obligations due to the irrelevance of information about the Buyer or discrepancy with the reality.

 10. Responsibilities of the parties

10.1. The Seller is not responsible for improper, untimely execution of Orders and its obligations in the event that the Buyer provides inaccurate or erroneous information.

10.2. The Seller and the Buyer are responsible for fulfilling their obligations in accordance with the current legislation of Ukraine and the provisions of this Agreement.

10.3. The Seller or the Buyer shall be released from liability for full or partial non-performance of its obligations, if the non-performance is the result of force majeure such as war or hostilities, earthquake, flood, fire and other natural disasters that occurred independently of the Seller and / or Buyer after concluding this agreement. A Party that is unable to fulfill its obligations shall immediately notify the other Party.

11. Other conditions

11.1. This agreement is concluded on the territory of Ukraine and is subject to the substantive law of Ukraine.

11.2. The invalidity of any clause or part of this agreement does not lead to the invalidity of the Agreement as a whole.

11.3. All disputes arising between the Buyer and the Online Store are resolved through negotiations. In the event of failure to resolve the dispute, the Buyer or the Online Store may apply to the courts in accordance with applicable law.

11.4. The Online Store has the right to make changes to the text of this agreement at its discretion at any time and without prior notice to Buyers. The current (current) version of the contract is always available at http://kordex.com.ua/
